Something in Common, for Florida’s Greater Good In support of those impacted by Hurricane Michael

The FICPA, IRS, the Florida Chamber Foundation (Foundation) and Rebuild 850; what do these entities have in common? We are channels for solutions – responsible parties working together – improving how Florida addresses natural disasters; assisting friends, families and neighbors facing the devastating financial consequences of Hurricane Michael. Nine months have passed since Michael hit Florida; the first Category 5 making landfall in the U.S. since Andrew, 27 years ago. How do we begin? We start with recognizing the massive scope of the problem; add the desire to solve it and deep commitment to long-term recovery. We need to work all three fronts so we don't forget, or expect a quick fix. Those still living amid catastrophe damage need assistance, in many forms and from different directions. Here’s what’s happening: In May we, the FICPA members representing you on the AICPA Council, again charged up Washington D.C.’s Capitol Hill to convene with Senators and House Representatives. We urged Florida’s Congressional Leaders to continue pushing hard for permanent disaster relief taxpayer provisions. For now, the federal government deals with each disaster individually and often, too slowly. You've likely experienced this, for example, as long delays in granting simple post-disaster tax filing extensions. Congressional House of Representative members have taken the initiative to author a letter to IRS Commissioner Rettig, asking for greater assistance in determining property casualty losses for tax purposes. Additionally, the AICPA/ FICPA have proposed Permanent Tax Relief provisions such as allowing taxpayers to access their own retirement funds immediately, without penalty, while awaiting government assistance that frequently comes far too late. Further bolstering disaster relief, the Foundation created the Hurricane Michael Recovery Mission. Over two days recently, Foundation Trustees and guests visited Panhandle businesses and residents still struggling to survive, let alone

recover. My husband attended in my absence. He shared his sorrow and disbelief at the deplorable, widespread living conditions inside the storm-tossed area. The damage estimates are at least $5 billion. Beyond the money, the emotional costs are immeasurable. In a true case of political clout for greater good, former Florida House Speakers and a former U.S. Representative are co-chairing Rebuild850. Through Rebuild850, the Foundation continues sharing the story of Hurricane Michael and underscoring the need for Florida’s business community to help in recovery. The IRS, the Foundation, political leaders, Rebuid850 and the FICPA — we all have something in common, our ability to effect change in ways that others may not. While it may seem limited, these efforts are our way of joining in the fight to do what we do best — putting our financial expertise to work and standing as a voice united for the public. The IRS can implement new rules where allowed; our elected officials can work together passing laws that make sense and solve problems now; the Foundation can mobilize support from Florida businesses as the FICPA continues representing our members on the state and national stages. Yellow Ribbon Club in Session

Past Chairs & Presidents gather at Mega CPE Conference

Every year, the sitting FICPA chair turns over leadership responsibilities to the incoming chair, during a ceremonial passing of the gavel and changing of name badge ribbons from red to yellow. Only past chairs (known as past presidents prior to 2013) have the honor of wearing the yellow ribbon. Withum Opens UCF Learning Lab

Top 100 Firm Mauldin & Jenkins (M&J) has acquired Jon Campbell & Associates, an advisory firm that services community banks and other financial institutions in Florida. In March, the Withum Learning Lab opened its doors to students at the University of Central Florida (UCF). The on-campus educational lab provides UCF Kenneth G. Dixon School of Accounting students with workstations, tutoring services and space to collaborate with fellow accounting majors. The lab was opened to posthumously honor Withum team members Sandi Breitenstein, Barb Sorenson and Robin Word. According to the firm’s website, the three were “incredible individuals and displayed unparalleled enthusiasm and passion for their careers in accounting.” The lab is located in UCF Building BA1.

H

ow does a math major become the FICPA’s 92nd Chair? “It comes from a series of outstretched hands, and the confidence to accept opportunities,” says Abby Dupree. Dupree began her education as a math major. Not wanting a teaching career, she switched to accounting. She says it seemed so logical to work for an accounting firm and to pursue her CPA license. Today Dupree drives business growth and improvement, though she’s quick to say she does not know all the answers. Instead, Dupree excels at seeking insights from others and weaving feedback into solutions. “Our profession is changing so fast yet the need for CPAs has never been greater,” she explains. “The new CPA is an agile business advisor, assuring business transparency and trust in our high-tech environment.” Dupree – with FICPA Council, Board of Directors and staff guidance, places the needs of FICPA members at the heart of every strategic decision. As she explains, the diverse accounting career options that initially attracted her to the profession also present challenges for today's FICPA governing team; how to stay relevant to members at all stages of their careers, including young CPAs (YCPAs). “I have no idea what YCPAs expect of the FICPA so we regularly seek input from them directly. They have a whole different perspective. They bring a lot of different ideas to the table. We tend to think, ‘Oh, we’ve come up with every idea in the book.’ And then there comes another one,” says Dupree with a chuckle. Early in her career, Rick Carroll, founder and now-retired managing partner of Carroll and Company was instrumental in helping Dupree understand the business side of accounting firms and, most importantly, instilled confidence in her to make decisions. “At times when I was hesitant to make a decision for fear of making a mistake, Rick pushed me to have confidence. He created an environment where it was okay to make mistakes, where risk-taking in pursuit of excellence was essential.” She is also quick to point out the importance of being well-versed. “The people who were partners at the time taught me all the technical aspects. For me to be the whole-rounded CPA that I am, I needed both sides. If I had just learned the technical, I wouldn’t be where I am right now.” Where she is right now is the FICPA’s 92nd leader. As newly-elected Chair, Dupree carries the same philosophy to her work on the FICPA Board and Council that she does as

This year she will continue moving the organization along the strategic path already in play. “I am passionate about supporting the FICPA on what we’re already doing. I don’t want to come in and say, 'let’s change this, let’s do this…or that we need a new initiative, a new challenge.' No, let’s keep working on the ones we have,” says Dupree. Maintaining relevance and protecting CPA licenses are two keys. “Florida CPA Political Action Committees (CPAPACs) are important to me. I have been very involved in the campaign finance world. I do see that side of things. We’re fortunate to have some CPAs who are in the legislature. We also have such a dynamic advocacy group. They use PAC contributions strategically to benefit Florida CPAs,” says Dupree. “Another highest-level initiative is locating staff and facility resources where our members are. It is exciting that our new office has just opened in Orlando.” When asked what experienced CPA members can do to help their profession and the next generation to be successful, Dupree doesn’t hesitate. “We need them. I urge experienced CPAs to continue staying involved, and I think they do. I ask that they encourage the younger generation, and mentor young CPAs and students. The biggest thing that experienced CPA members need to know is that we do have to change, and evolve." “I think most people in or nearing the FICPA’s lifetime category agree. They can continue encouraging change and being supportive of the FICPA – realizing that we still are looking out for them, and for every other member.” Family has always been important to Dupree. She says she has two – her personal family and her work family. Her Carroll and Company family, founded in 1990 by Rick Carroll is a full service accounting firm. Based in Tallahassee, the firm has four partners and 19 other SUMMER 2019 | FLORIDA CPA TODAY

employees, including three working remotely in other cities. “Within our firm we have an open door policy. Anybody can come see me any time. I encourage peer-to-peer learning because the way I teach them might be three levels above where they need to start,” explained Dupree. “I try to set a good example. I talk to people all the time about making sure that they have a life outside of Carroll and Company, that they get involved in other things. We are huge supporters of everybody getting involved in any organization they want to. They can do that on company time. That gives them that other side of their life.” On the personal side, Dupree is married to Stam Stathis. She has a son, two step-sons, two Labrador retrievers named Brody and Bella, and Marshmellow the elder Siamese cat. Son Matthew is a college student in Tallahassee and his mom’s biggest fan. Step-sons Michael and John Dupree work in Panama City. Also a CPA, husband Stathis served as the FICPA’s 84th President (2011-12). Dupree says that he is her uniquely trusted advisor. “I want to learn from him. Stam has helped me know what to expect [in my new role]. I want to know the things that work or don’t work, but I also want him to know that things don’t always have to be the same, they change, and the FICPA has changed. He understands that.” 14

Family has always been important to Dupree. She says she has two — her personal family and her work family. — Abby Dupree, CPA Family ties to accounting don’t stop with Stathis; Dupree’s step-son Michael is a CPA and chair of the FICPA’s Miracle Strip Chapter. Also, as an adopted only-child, Dupree wonders if her biological father, who majored in finance might have had a genetic hand in her accounting path. While she can’t be sure of that, Dupree credits her adoptive mother and father with supporting but never forcing her choice of study. In her later years Dupree’s mother pushed through physical challenges with grace and determination. “I always remember my mother, who was very positive, saying, ‘I don’t care what’s happening in my life, I’m going to live, I’m going to go home. I’m not going to stay in this rehab hospital.’ That stuck out to me, mom was a fighter. Even as bad as things got for her, she was going to keep on pushing through.” Dupree firmly believes that, “Life is too short, it really is. I don’t like to dwell on things that are upsetting. Let’s get those bad things out of the way so that we can move on.” With Dupree at the helm, the FICPA is poised to do just that.

The Road to Leader FICPA Chair Abby Dupree recently sat down with Florida CPA Today editor Jan Dobson to reflect on the state of the profession, the FICPA and what drives her. Following are excerpts from that interview. Q: How has your perspective changed as you have transitioned from FICPA member to Chair? A: “As a member I really, beyond chapter level, had no idea what our involvement was. I started out as a chapter officer (CPE); nothing really stuck out to me as to what happened at higher levels. “A few years later, someone asked me if I had an interest in applying for the board. I thought, ‘You know, I’m in a position in my life where I think I would.’ As I served my first term in 2011, I felt like there was even more that I could learn. If I’m going to be involved, I want to be involved. I want to be the one helping make decisions and helping with some of those questions needing answering. “I wanted to make a difference on a state level, as opposed to just the Tallahassee level. Having total involvement helps you understand many more of the issues our profession is facing – what we should be doing to keep members involved; what they should know. This was my whole transition from member all the way up. As with my career, it took a few years.”

Q: You talk about the challenge of satisfying member needs in various stages and types of accounting careers. How is the FICPA responding, and staying relevant? A: “I think that’s what we ask ourselves in every single meeting, roundtable, lunch, or dinner. We’re always discussing that. The real answer is, you don’t know; you don’t know what makes it relevant for one person over another. A person in industry has a totally different set of expectations of our association than somebody in public practice. “The big thing these days is what do the YCPAs want? How can we get them more involved? We toss around ideas. How do we really know until we ask YCPAs? Each is going to give you a different answer. We’d like to hear from more of them. Yes, back in the day it was our partners and others within our firms who encouraged us to be involved. Every partner in my firm has served as an FICPA chapter officer…and some of our staff too. It’s very different now. “I think the Emerging Leader program is fantastic. We’ve had a couple [Carroll and Company] staff go through it and I know of others; they’re all very impressed. The program has taught them a lot about the profession. I think that’s one thing that we, as a profession, have not done a good job of – helping YCPAs to understand what the big picture is. You just throw them in there; you give them a bunch of work. You think, ‘Oh they’re going to figure it out.’ The FICPA’s Emerging Leader program really helps YCPAs gain a global view.” SUMMER 2019 | FLORIDA CPA TODAY

Q: How do you stay relevant, personally and professionally amid rapid change? A: “Reading, a lot. Absolutely, being on AICPA Council and the FICPA Board has helped me to see a bigger picture, far beyond the local-firm-in-Tallahassee perspective. My husband Stam feeds me information on a daily basis because he stays very relevant. We have a lot of conversations about new tax law; what’s happening with the CPA exam; or why can’t we get people to not only major in accounting but go the next step to become a CPA. Staying relevant is a hard thing. It’s trying to stay ahead of the learning curve and that’s a tough but vital one to do.” Q: How can the FICPA best prepare for the future, of itself and the profession? A: “For the FICPA Board to recognize that they don’t have all the answers but to continually seek them is a powerful way to move the profession and our organization forward. We have to stay ahead of the curve. I think that the staff is doing a good job of that. With the proliferation of technology it’s difficult in any membership organization to stay ahead of the curve. But we’re Florida; we’re one of the big states. To be able to compare ourselves to other state societies when we’re away at AICPA-State Society Interchange or other joint meetings is fantastic. How else are you going to know what is working for other state societies? This is similar to what CPA firms do; they join an organization in continual pursuit of best practices and innovation.” Q: Do you have a mentor? Have you mentored others? A: “Rick Carroll, who founded Carroll and Company is now retired. Rick was and still is my mentor. He instilled confidence. When you’re a young staff person you’re scared to make decisions. He always encouraged me, ‘It’s okay, if you make a wrong decision, it’s not the end of the world. Nobody’s going to die, nobody’s going to be run over by a bus; it’s okay.’ He taught me leadership and other people taught me the technical aspects of doing my job. “I hope that I have helped to mentor a couple of our partners who were staff people before. I see them as key mentors to our staff. Growing up, my stepson Michael Dupree said, ‘I will never be a CPA. You work way too much. I don’t want to be in this profession.’ Sure enough, once he got through college he decided, ‘You know, accounting is probably a good profession.’ Michael then moved to FSU, finished out his schooling and then worked for us at Carroll and Company. He took the CPA exam, passing it the first time, and now loves being a CPA. So, I hope that I was a mentor to him. He says that I was.”

Q: There’s no doubt you’re a driver, constantly propelling yourself, others and your firm forward. Where do you get that from? A: “My parents always said, ‘You can be whatever you want to. You can do whatever you want to.’ They never had to say ‘do your homework; you’re not making A's and B's,’ that was just me. Throughout my career others that have said, ‘You should apply for the board,’ or, ‘I could see you serving on this board.’ I think I got more confidence as I went along. Having supporters provides opportunities. Gaining the confidence to accept each opportunity that’s presented can’t help but give anyone a great grounding and propel them forward.” Q: What opportunities are awaiting accounting students? What roles do you think their employers, colleagues and the FICPA have in facilitating their success? A: “I think it goes back to the person. What do they want out of their career? It’s interesting, we’ve had a harder time getting staff to finish out their accounting degree and take the extra step; making time to study for the CPA exam and actually taking it. “When I was coming up through the profession I had no question. Nobody needed to encourage or push me along. If I was going to get my accounting degree, I was going the full mile…why not? I think a lot of people now think well, I can still have a good career without having CPA behind my name. Any staff person who aspires to become a manager or a partner or leader in some aspect of accounting needs to know that employers do look for the CPA license. That license opens many career doors. “A lot of younger staff still sees the partners who work way too much, that don’t have work-life balance. That has discouraged people and leaves them wondering, ‘Why would I want to be a partner?’ “I hope we are changing that. When I started, you worked six days a week during busy season; there was no question. You never took time off, you never took a vacation. You felt very guilty if you had to go to the doctor. It’s not like that anymore. “We hope they don’t feel guilty. We have people who go on spring break – for Heaven’s sake I would never have gone on spring break when I was a staff person. If you don’t let them have their life why would they want to work? “It is true that you’ve got to work to make the money. Well, it also is true that if you make the money, you’ve got to spend it somehow. You’ve got to do something fun and you’ve got to have the time to do that.”


Q: Is there a mentor philosophy or piece of advice especially meaningful to you? A: “Yes. People can do anything they put their mind to. I don’t think anything holds people back. “Had I not received encouragement along the way, mine might be a different story. I never felt that as a woman I couldn’t do something. If anything, early in my career people would say, ‘you’re too young, you don’t know.’ Because I had a young-looking face I’d have to prove that okay, I might be or look young but I still know something. Nobody ever made me feel that I couldn’t do something. Probably that has a lot to do with my successes. People can do anything they put their mind to. “Another thing I always say is that you’ve got to be positive; you’ve got to be happy. Even when bad things are happening I try to find something positive. Otherwise you can tumble down this tunnel and not come out. I think if somebody wants something bad enough, they can do it.”

Lawmakers Address Florida CPA Requirements, Tax on Services Thwarted BY JUSTIN THAMES, DPL, director of governmental affairs A NEW DAY IN FLORIDA

After a record 2018 election turnout and a few recounts, Florida’s 2019 legislative session began with entirely new leadership, from the first floor to the fourth. Driving the legislative agenda were newly-elected Governor Ron DeSantis, House Speaker Jose Oliva and Senate President Bill Galvano. The trio set out to pass their major priorities, including funding for Hurricane Michael recovery, criminal justice reform, new toll highways, school safety, and a program for importing prescription drugs from Canada. Within the 60-day session, the FICPA Governmental Affairs team reviewed more than 3,000 bills spanning a range of policy areas potentially impacting the profession. The most alarming proposal for the profession was the emergence of the first bill in decades attempting to enact a sales tax on professional services. While the measure was never heard, it should serve as a reminder that history does indeed repeat itself and it is incumbent upon us all to be engaged in the legislative process. L-R Rep. HISTORY MADE: CHANGES TO THE PRACTICE OF PUBLIC ACCOUNTANCY ACT

In 2014, the FICPA began a process to address growing support for alternatives to Florida’s 20-hours of Accounting and Auditing (A&A) continuing education requirement. Members were presented with a survey outlining various proposals to change the composition of the continuing education hours related to A&A. More than 800 voting members responded. The majority of respondents agreed that while maintaining some amount of A&A was beneficial, a reduction would allow flexibility for CPAs to take more courses of relevance to their practice area. In response, the FICPA would adopt a legislative policy allowing for the reduction of A&A hours to “no less than eight hours” in 2015. The concept of more flexibility in the types of continuing education requirements for the profession has since been widely embraced across the country, and even incorporated into the present version of the jointly adopted Uniform Accountancy Act (UAA) by the American Institute of CPAs and National Association of Boards of Accountancy. This year’s legislation package, proposed and supported by the FICPA, implemented the change into Florida law. House Bill 977 sponsored by Representative Cyndi Stevenson, CPA, and its companion, Senate Bill 1252 by Senator Joe Gruters, CPA, made three major changes to Florida’s practice act. 1. Reduced the number of Accounting and Auditing hours required for licensure renewal from 20 to 8 2. Updated the definition of the Practice of Public Accounting to include Statements on Standards for Attestation Engagements (SSAE) 20

3. Capped the number of hours required for reactivation of a license to 120 Five separate legislative committees heard and unanimously voted favorably for the measure before being passed by both bodies of the legislature. The Florida Board of Accountancy also issued a letter of support for the legislation. Governor DeSantis signed CS/HB 977 into law June 7 with July 1 effective date. CPAs renewing after July 1 will be impacted by the change in CPE requirements. The Board of Accountancy will be updating the rules associated with the changes in law and the FICPA will keep our membership informed on the implementation process. DE-REGULATION AND PROFESSIONAL REGULATION

All across the country, efforts by state legislatures at reducing regulations on professions and occupations has raised concerns for the CPA profession, Florida is no exception. Shortly after he took office, Governor Ron DeSantis announced that he would hold a “Deregathon” event to identify state regulations on businesses regulated by the Department of Business and Professional Regulation (DBPR). In the announcement, DeSantis declared, “Aggressive and appropriate deregulation is a top priority of my administration.” These well-intended efforts to reduce government regulation can dramatically impact CPA mobility, substantial equivalency and the uniform regulation of the profession. Along with the above, included in legislation sponsored by Senator Gruters and Representative Stevenson, the FICPA engaged in legislation that was the work-product of the Governor’s “Deregathon” to ensure that the profes-

sion was not negatively impacted. The bill, House Bill 27 by Representative Blaise Ingoglia, made narrow changes to the regulation of the CPA profession by eliminating the CPE requirements for CPAs entering the state under mobility. The bill passed through the House of Representatives, but would ultimately fail to pass the Senate. We expect to see similar, if not the exact legislation filed for the 2020 legislative session. In addition to the Deregulation bill, the following regulatory reform bills were considered during the legislative session, but failed to pass: House Bill 397 — Professional Regulation

Required a regulatory board to use specified process for review of applicant's criminal record to determine eligibility for certain licenses. The measure would have prohibited a conviction of crime before specified date from being grounds for denial of certain licenses. The CPA profession was excluded from the impact of this bill. House Bill 679 — Legislative Review of Proposed Regulation of Unregulated Functions

Provided that certain requirements must be met before 1) adoption of regulation of an unregulated profession or occupation, or, 2) substantial expansion of regulation of a regulated profession or occupation. If the legislation had passed, the ability to bring uniformity to Florida’s accounting laws, along with the rest of the states across the country, could have been negatively impacted. Senate Bill 1112 by Senator Gruters would have implemented the Wayfair decision and addressed marketplace providers, while dedicating the new sales tax revenue to additional reduction of the business rent tax. BY BOARD OF ACCOUNTANCY CHAIR TRACY KEEGAN The Florida Department of Business and Professional Regulation (DBPR) have transitioned more than 500,000 licenses since 2015 to an online process enabling a licensee to self-print their license. Beginning July 1, DBPR’s Division of Certified Public Accounting allows CPAs to self-print their professional licenses, through their online accounts in an effort to improve the way they do business. The new process significantly reduces the amount of time it would have otherwise taken for CPAs to receive their licenses in the mail. The Department will no longer print and mail licenses. Licensees will need to log into www.myfloridalicense.com and access or create an account. Licensees will then select “My Account” and follow the step-by-step instructions to print licenses online.

Responding To and Preparing For a Data Breach: Not If, But When BY PETAR BESALEV CISA, CISM, CIPT, CCSK, svp cybersecurity and privacy services at A-LIGN DEFINING A DATA BREACH

News stories regarding security or data breaches appear almost daily. Networks have been accessed, confidential data has been leaked and customers have had their information stolen. Security threats come in many forms, but there is some confusion around what actually constitutes a data breach and what they mean for business owners. A data breach can be defined as an incident in which security defenses are bypassed and information is accessed without authorization. Data breaches can range from minor incidents (the hacking of one individual) to massive, such as the 2017 Equifax incident when hackers stole personal information from more than 143 million Americans. Data breaches are occurring more often, especially to businesses and organizations. A 2019 report from Hiscox found that 53 percent of companies experienced a cyberattack in 2018, a 15 percent increase from the year before. Though these attacks are being detected more frequently, many businesses still are not prepared. In a 2018 cybersecurity resilience study from IBM, almost 80 percent of business leaders admitted to not having a formal incident response plan in place for their organization.

RESPONDING TO A DATA BREACH

So, what happens if you or one of your vendors suffers from a data breach? The affected company must first determine what kind of breach has occurred — common types include cases of employee negligence, unauthorized access, phishing, ransomware and physical theft of devices. The organization then must assess the impact of the breach to the organization. When assessing the impact of the breach, three aspects to should be considered: defining the technical impact, defining the business impact and defining the privacy impact. While not an exhaustive list, the following questions can help guide the organization in assessing the potential impact of the breach: Technical impact:

• What system(s) have been affected? • What is the identified point of entry? • What deficiencies and/or vulnerabilities exist within the current monitoring and detection activities?

Business impact:

• Has this caused an impact on business operations? • Is the business still able to continue operations? • Is third-party assistance needed? • Has there been a breach to “sensitive” or “confidential” data?

Privacy impact:

• What regulations and/or state-specific items is the entity concerned about? • How many users were affected? • Where are the majority of the data subjects located? • Was the data encrypted? • Is this data likely to cause a high-risk to the rights and freedoms of data subjects?

After the impact of the breach has been defined, the company must notify relevant parties. This step should be completed as soon as possible, as most states and many countries have legislation in place requiring the notification of security breaches involving sensitive information. Unfortunately, completing this task can quickly get complicated. Notification requirements not only include impacted customers and businesses, but also reporting requirements to federal authorities. The requirements for notifying affected parties vary based on the state or territory where those individuals reside, so it is important to have the requirements of each state on hand in order to minimize response time.

International organizations must also take note of requirements and laws pertaining to security breaches impacting citizens of multiple countries. This process can sound lengthy and intimidating. However, by being prepared for a breach before it occurs, companies can streamline their response and minimize the impact on normal operations.

As with anything else, preparation and practice are keys to minimizing the impact of a security breach. It may not be possible to predict exactly what a breach will look like or when a breach may occur, but there are several steps companies should take to ensure they can respond to the unexpected. Establish a breach team

All members of an organization should have a basic level of knowledge on what to do and who to contact in the event of a breach. However, designating a specific group of individuals who are trained to lead the organization’s response to a breach will simplify the process. The members of the breach team may vary, based on what is logical for the organization, but should typically include forensics experts, incident handlers, executives with crisis management experience, legal counsel and media relations experts. Awareness Training

While the breach team will be the internal experts on security breach response plans, awareness training sessions for all employees is still crucial. After all, an organization’s security is only as good as the least knowledgeable person with access to internal networks and databases. Training sessions should educate all employees on the policies and procedures in place to prepare for cyber threats and explain their roles in responding to a security incident. should also continuously update employees on new scams or potential risks as they arise and provide tips on how to avoid falling victim to them. Penetration training

Penetration testing is a simulated cyberattack against an organization’s computer system to test the security of its current technologies and systems. The goal of penetration testing is to identify such vulnerabilities before a malicious source can take advantage. These tests should be run on everything that could potentially be compromised, including servers, firewalls, routers, switches, web applications and wireless technologies. Penetration tests should be conducted on a semi-annual or quarterly basis in order to ensure outdated practices are not being relied upon. Vulnerability scans and assessments

Vulnerability scans and assessments provide detailed reports with explanations about any possible holes in a security system. They also can provide recommendations on how organizations can address the vulnerabilities identified. These scans and assessments should be conducted monthly on all information systems within an organization. Internal SOC team or third-party monitoring

Ideally, an organization should have an internal security operations center (SOC) team monitoring systems and technologies continuously. If that is not possible, an organization may consider working with a third-party security monitoring service (MSSP) to monitor systems within an organization. “IF, NOT WHEN”

When preparing for breaches, companies should think in terms of “WHEN a breach happens, we will do this” instead of “We will do this IF a breach happens.” As data breaches are being discovered and reported more frequently, it is critical for organizations to recognize that establishing and implementing a security breach response plan is an integral part of their cybersecurity preparedness. Does Your Limited Liability Company Have a “Prenuptial Agreement?” (If Not, Consider Reading This)

ood communication is key to having a successful relationship. Based on current divorce statistics in America, approximately 50 percent of marriages end in divorce. Why is this not surprising? Of those divorced couples interviewed, approximately 65 percent cited poor communication as being the primary factor for the deterioration of their marriage, or at least one of them. In business, it is no different. An organization with a culture of positive communication sets the tone for its success. Whether it is a Fortune 500 company, a startup, or a not-for-profit entity, does not matter — communication (good or bad) impacts performance. With the emergence of the limited liability company (“LLC” or “company”) entity type, an owner, known as a “member,” can minimize or prevent setbacks interrupting business operations, or that, in very extreme, can cause it to dissolve.

Similar to a prenuptial agreement in the marriage context, a properly drafted operating agreement can protect members — and even the company, in the event that a member or members decide to breakup or call it quits. Below are sections, which at a minimum, should be included in a company’s operating agreement: 1. Formation. A formation section includes information concerning the company’s name, date created, its members, office location, registered agent and ownership. Ownership may be determined either by the percentage or interest that a person has in a company, or by membership units (“units”), which is equivalent to shares of a corporation. If a company has different classes of units, this section should detail whether voting rights differ among each class, and if applicable, any distribution waterfalls and preferences describing the ordering of payments among members.

2. Management and Voting. A management and voting section provides information on how a company is managed. It is either “manager-managed” by person(s) appointed by members (a manager may, but is not required to, be a member) or “member-managed,” thus managed by its members. This section should also include provisions regarding how the company conducts official business, such as member voting requirements, resolutions for voting deadlocks, protocols for official meetings including proxy voting, and provisions specifying member authority over company affairs. 3. Capital Contributions. A capital contributions section contains information regarding capital contributions made by members (monetary and non-monetary), the amount, value of contribution (if non-monetary), and class of units (if applicable) that each member owns, and whether members may be required to make additional capital contributions.


4. Allocation of Profit and Losses and Distributions of Cash. This section specifies how company profits and losses are shared among members and other fiscal matters. It may explain information on special allocations, which are non-pro-rata distributions. This section should also discuss how distributions of cash shall be made and whether distributions may be “in kind,” which are payments in the form of a security or property other than cash. 5. Membership Changes. A membership change section describes how members are added and removed, if and when members can transfer ownership, and other related provisions. This section should also describe how a company handles a member’s death, bankruptcy of a member, and events that disqualify a person from being a member.

6. Dissolution. A dissolution section provides circumstances when a company may or must be dissolved and the steps involved in winding up business affairs.

A properly drafted operating agreement is a critical step to starting a company. Members should invest time in creating this tool which promotes formality and separates a company’s business matters from its owners’ personal matters. Costly attorney fees and litigation expenses can be avoided upfront if an operating agreement is properly drafted. Consideration should also be given to tax matters by an attorney experienced in that area. The pitfalls of not drafting a timely operating agreement can be costly. Business owners waiting to draft this document when business activity “picks up” may encounter setbacks if a

FICPA Hires New Chief Member Engagement Officer After conducting a national search, the FICPA is pleased to announce the selection of Maunda Land as its new chief member engagement officer (CMEO). “I am excited to have Maunda join our staff and to put her member engagement talents to work for us,” said FICPA President-CEO Deborah Curry. Prior to joining the FICPA, Land was director, Membership Engagement, Diversity, & Student Programs for The Institute of Internal Auditors, a professional association with 195,000 members worldwide. She holds an Executive Master of Business Administration from the University of Central Florida. Land’s experience includes over 16 years in the nonprofit and association sectors, with emphasis on membership engagement and professional development. A member of the American Society of Association Executives, she also is an ASAE DELP Scholar (Diversity in Executive Leadership Program).

FICPA Members Visit Lawmakers in Washington, D.C. To Discuss Issues Important to the Accounting Profession Members of the FICPA visited Florida lawmakers in Washington, D.C. to discuss the accounting profession’s advocacy agenda. The Florida CPA Delegation was attending the American Institute of CPAs (AICPA) Spring Meeting of Council and Annual Members’ Meeting. “Making these personal visits with our elected officials on Capitol Hill is one of the best ways we can educate them about issues important to the accounting profession and Florida taxpayers they represent,” said Deborah Curry, FICPA president-CEO. The Florida delegation includes Jeffrey Barbacci, Kristin Bivona, Eduardo Duarte, Abigail “Abby” Dupree, Gary Fracassi, Sarah Funk, Alan Jowers, W.G. Spoor II, Alan West, along with Curry and Director of FICPA Governmental Affairs Justin Thames.

The Delegates, working with Thames, provided daily “Live from Washington D.C.” video updates to FICPA members. At the top of the profession’s list of issues are modernizing the Internal Revenue Service’s (IRS) taxpayer services, changing the trigger that allows the IRS to grant deadline extensions when natural disasters occur, the growing importance of taxation of the digital economy and a Congressional resolution relating to the fiscal state of the nation. Congress can help Florida taxpayers, and all others nationwide, by enacting legislation giving the IRS the authority to postpone deadlines when a national disaster is declared by a state’s governor, which often occurs days before the disaster occurs, rather than waiting for a federal disaster declaration, the CPAs said. The FICPA and the AICPA have long worked for a set of permanent disaster relief tax provisions, but enactment of this new legislation would provide more timely assistance and certainty to tax preparers and taxpayers.

Also, a Practitioner Services Division within the IRS improves taxpayers services, the CPAs told lawmakers. It would help tax preparers solve their clients’ tax issues by consolidating existing IRS units in the new division. Currently, the programs are spread throughout the IRS and the operating systems for the programs do not easily communicate or integrate or even have access to the same taxpayer information. The CPAs also asked their lawmakers to support a Congressional fiscal state of the nation resolution calling for the Government Accountability Office Comptroller General (GAO) to make a presentation to a joint session of the House and Senate Budget Committees on the GAO’s auditor’s report of the U.S. government’s financial statements. In addition, the CPAs advocated for sound tax policy as they discussed with lawmakers the complex and unique tax challenges presented to governments and tax authorities around the world by the advancement of technology and the digital economy. 2019 Women to Watch Award Winners Honored The Women to Watch Emerging Leader award honors a woman who has made significant contributions to the profession and to her community even in the early stages of her career. The 2019 Women to Watch Emerging Leader Award winner is Gretel Perez, CPA. Perez is a graduate of Florida International University with a Master of Science in Taxation. Currently she is senior manager of the tax and accounting team at the public accounting firm of Perez-Abreu, Aguerrebere, Sueiro & Torres, P.L. (PAAST). The Women to Watch (W2W) Awards were created by The American Institute of CPAs in 2010 to recognize outstanding women in the accounting. Annually the W2W awards recognize outstanding women who not only shape the FICPA, but also the profession. The W2W awards are given in two categories: Experienced Leader and Emerging Leader. The “Experienced Leader” Award recognizes a woman who has advanced to a leadership or higher-level position within her profession, and who has more than ten years’ accounting experience. The 2019 Women to Watch Experienced Leadership Award winner is Wendy Terry, CPA, CGMA.

Terry, a partner in Withum's Florida office, has extensive experience with multinational clients in the manufacturing and distribution sectors. She is an employee benefit plan specialist and has a deep understanding of Cost Accounting Standards and Federal Acquisition Regulations. Terry was appointed to the 2012-17 AICPA Employee Benefit Plan Expert Panel. In 2017 and 2018 she chaired the AICPA National Employee Benefit Plan Conference and in 2017 was appointed to the AICPA’s Employee Benefit Plan Audit Quality Center (EBPAQC) Executive Committee. Active in her community, Terry serves on the Boards of the Orlando Economic Partnership and Cornerstone Hospice. She is a member of the Special Olympics Florida audit committee and volunteers extensively with various local education initiatives including the Lake County Career Technical Educational Advisory Board, the South Lake Community Foundation Education Grant Committee and the Chamber’s Education committee. 36

Perez also is President of the Cuban-American CPA Association (CACPAA) and has held the position since 2017. Her leadership and contributions as President have helped the association in providing the most relevant training sessions and networking events for its members. Recent Changes in Florida Legislation BY ALEXANDRIA BICKLEY, deputy communications director, Florida Department of Revenue

The Department of Revenue (DOR) tracked more than 470 unique bills during the session, covering topics such as taxation, education, and corporate income tax... For additional information about 2019 DOR-related bills [visit] floridarevenue.com. During the 2019 legislative session, the Florida Legislature considered over 3,400 bills. The Department of Revenue (DOR) tracked more than 470 unique bills during the session, covering topics such as taxation, education, and corporate income tax. Brief descriptions are provided for major bills the Department will be implementing upon becoming law; please review the approved legislation for the most up-to-date details.

mercial rent tax, which lowers the tax rate to 5.5 percent, effective January 1, 2020. Temporary sales tax exemptions for certain agricultural property damaged by Hurricane Michael were also provided for in HB 7123, including refunds of tax paid for purchasing materials used for repairing fences on agricultural property and refunds of tax paid for building materials used for replacing or repairing nonresidential farm buildings.

HB 7123 was signed into law by Gov. Ron DeSantis May 15. This bill established a 7-day disaster preparedness sales tax holiday from May 31 through June 6. Exempt items, for example, include batteries selling for $30 or less and generators selling for $750 or less. HB 7123 creates a 5-day backto-school sales tax holiday which will take place August 2-6. Exempt items include clothing under $60 and select school supplies under $15. The legislation includes a reduction in com-

It also requires Florida corporate income tax filers to submit certain information related to their federal tax returns to the DOR using a secure online application created by the Department. The Department recently completed a thorough review of how the Tax Cuts and Jobs Act of 2017 will affect Florida corporate income tax. More information can be found at floridarevenue. com/citreview.
